Groggi Terms of Use and End User License Agreement

These Terms of Use and End User License Agreement (“Terms”) constitute a legally binding agreement between you and App Mantra LLC (“App Mantra,” “we,” “us,” or “our”) governing your download, installation, access to, and use of the Groggi mobile application, together with the functionality, content, and services made available through it (collectively, “Groggi” or the “App”).
Please read these Terms carefully before using Groggi. By downloading, installing, accessing, or using Groggi, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not agree to these Terms, do not download, install, access, or use Groggi.
Groggi is an alarm application intended to assist users with waking up by requiring completion of selected wake-up challenges. Groggi is not an emergency, medical, health, safety, security, or life-safety service. You should not rely on Groggi as your sole means of waking up or receiving a reminder where a missed, delayed, or failed alarm could reasonably result in personal injury, medical harm, property damage, significant financial loss, or another serious consequence.
1. Eligibility and Use by Minors
Groggi is intended for users age 13 and older. It is not intended for children under 13.
If you are under the age of majority where you live, you may use Groggi only if you are legally permitted to do so and with the involvement or authorization of a parent or legal guardian where required by applicable law. If applicable law requires your parent or legal guardian to consent to these Terms on your behalf, you may use Groggi only after that consent has been provided.
If you are a parent or legal guardian permitting a minor to use Groggi, you are responsible for supervising the minor’s use of the App and for explaining any safety precautions appropriate to that use.
You may not use Groggi if applicable law prohibits you from entering into or complying with these Terms.
2. What Groggi Does
Groggi is designed to help users wake up by allowing them to configure alarms that may require completion of a selected challenge before the applicable alarm session is completed or dismissed.
Depending on the functionality available in the version of Groggi you use, challenges may include mathematical problems and photo-based activities such as photographing the sky or locating and photographing a selected item.
Certain photo-based challenges use automated visual analysis to evaluate whether a submitted image appears to satisfy the selected challenge. Additional information concerning the processing of challenge photos is provided in the Groggi Privacy Policy.
Groggi is a general consumer productivity and alarm application. It is not designed, tested, or intended to function as an emergency alert system, medical reminder system, safety-critical notification system, security system, or other service in which failure, interruption, delay, or inaccuracy could reasonably be expected to cause serious harm.
3. Alarm Reliability and Your Responsibility for Backups
Mobile alarms depend on numerous conditions that are not entirely within App Mantra’s control. An alarm may fail to activate, may activate late, may not be audible, may be interrupted, or may otherwise fail to perform as expected because of circumstances involving your device, operating system, device settings, volume or audio configuration, power state, battery condition, software updates, permissions, notification or alarm settings, hardware problems, application state, user configuration, third-party software, Apple services, or other technical conditions.
App Mantra does not guarantee that an alarm will activate at a particular time, remain active for a particular period, wake you, or successfully require completion of a particular challenge.
You are responsible for determining whether Groggi is appropriate for your circumstances and for maintaining reasonable backup measures where failure to wake up or receive an alarm could have meaningful consequences.
For example, you should not rely exclusively on Groggi for medication schedules, medical care, caregiving responsibilities, transportation departures, examinations, employment obligations, school attendance, legal deadlines, financial transactions, emergency response, or other circumstances in which a missed alarm could create material harm or loss. Where appropriate, use a separate alarm clock, another device, another person, or another independent reminder method as a backup.
Your use of Groggi does not transfer responsibility for your schedule, obligations, health, safety, travel arrangements, employment, education, or other activities to App Mantra.
4. Photo Challenges and Automated Verification
Certain Groggi challenges, including Sky and Item Search, use automated visual analysis to evaluate photographs submitted by the user.
Automated image analysis and artificial intelligence systems are probabilistic. A photograph that satisfies a challenge may occasionally be rejected, and a photograph that does not satisfy a challenge may occasionally be accepted. Results may also be affected by lighting, camera quality, image composition, connectivity, service availability, model behavior, or other circumstances.
App Mantra does not guarantee that automated verification will be accurate, uninterrupted, or available at all times.
You are responsible for the content of photographs you submit through Groggi. You should not photograph or submit material that is unlawful, that violates another person’s privacy or intellectual property rights, or that unnecessarily contains sensitive or confidential information. In particular, you should use reasonable care when taking challenge photographs in private locations or around other people, documents, screens, personal belongings, or other potentially sensitive material.
Groggi’s processing of submitted photographs, including its use of Cloudflare and OpenAI for current photo-verification functionality, is described in the Groggi Privacy Policy.
5. License to Use Groggi
Subject to your compliance with these Terms, App Mantra grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Groggi on Apple-branded products that you own or control and as permitted by the usage rules applicable to applications distributed through Apple’s App Store.
Where permitted by Apple’s applicable usage rules, Groggi may also be accessed and used through accounts associated with the purchaser through Family Sharing or other Apple-supported distribution arrangements.
Groggi is licensed, not sold. App Mantra and its licensors retain all rights in and to Groggi that are not expressly granted to you under these Terms.
You may use Groggi only for lawful personal purposes and in accordance with these Terms, applicable law, and applicable third-party terms.
6. Acceptable Use
You may not misuse Groggi or interfere with its operation, security, integrity, or availability.
Without limiting that obligation, you may not use Groggi to violate applicable law or the rights of another person; submit unlawful, infringing, abusive, malicious, or unauthorized content; attempt to gain unauthorized access to Groggi or its infrastructure; bypass or defeat App Attest, rate limits, verification controls, anti-replay protections, access controls, or other security measures; probe or test Groggi for vulnerabilities without authorization; interfere with another user’s access to Groggi; introduce malicious code; impersonate another person; or use automated methods to abuse or place unreasonable demands on Groggi’s services.
Except to the extent a restriction is prohibited by applicable law or permitted by applicable open-source licensing terms, you may not copy, modify, reverse engineer, decompile, disassemble, attempt to derive the source code of, create derivative works from, redistribute, sell, rent, lease, sublicense, or commercially exploit Groggi or any portion of it.
Nothing in these Terms prohibits activity that applicable law expressly permits notwithstanding a contractual restriction.
7. Updates, Changes, and Availability
App Mantra may update Groggi from time to time to add, modify, improve, remove, or maintain functionality; address security or technical issues; comply with legal or platform requirements; or otherwise operate the App.
Some updates may be necessary for Groggi to continue functioning correctly. Your ability to use Groggi may depend on your device, version of iOS, installation of available updates, permissions, and other technical requirements.
App Mantra does not guarantee that every feature will remain available indefinitely or that Groggi will always be compatible with every device or operating-system version.
We may modify, suspend, restrict, or discontinue all or part of Groggi where reasonably necessary for technical, security, legal, operational, platform, or business reasons. Where required by applicable law, we will provide any notice or remedy required in connection with such a change.
8. Third-Party Services
Groggi depends on certain services and technologies provided by third parties. Current functionality includes services provided by Apple, Cloudflare, and OpenAI.
Those services may be subject to separate terms, privacy notices, technical requirements, and availability conditions established by the applicable provider. You must comply with applicable third-party terms when using Groggi.
App Mantra does not control the independent operation of third-party platforms or infrastructure and cannot guarantee their continuous availability. An interruption, modification, restriction, or failure of a third-party service may affect Groggi even where App Mantra itself has not experienced a technical failure.
Nothing in this section limits any responsibility that App Mantra is required to assume under applicable law or under the Apple-specific provisions of these Terms.
9. Privacy
Your privacy is important to us. The Groggi Privacy Policy explains how App Mantra processes information in connection with the current version of Groggi and is incorporated into these Terms by reference.

By using Groggi, you acknowledge that information will be processed as described in the Privacy Policy and in accordance with applicable law.
If there is a conflict between these Terms and the Privacy Policy concerning App Mantra’s processing of personal information, the Privacy Policy will control with respect to that processing.
10. Intellectual Property
Groggi, including its software, design, interfaces, graphics, branding, text, selection and arrangement of content, and other proprietary materials, is owned by or licensed to App Mantra and is protected by applicable intellectual property and other laws.
“Groggi,” the Groggi name and branding, and associated logos and product identifiers are or may be trademarks or other proprietary identifiers of App Mantra. No right to use those identifiers is granted except as necessary to use the App in accordance with these Terms.
These Terms do not transfer ownership of Groggi or any App Mantra intellectual property to you.
If you voluntarily provide App Mantra with suggestions, comments, ideas, or other feedback concerning Groggi, you grant App Mantra a worldwide, perpetual, irrevocable, non-exclusive, royalty-free right to use, reproduce, modify, adapt, distribute, and otherwise exploit that feedback for any lawful purpose without compensation or obligation to you. This provision does not grant App Mantra ownership of photographs, support materials, or other content you submit for purposes unrelated to providing feedback.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROGGI AND ALL RELATED FUNCTIONALITY AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APP MANTRA DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES AND CONDITIONS, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND RESULTS.
WITHOUT LIMITING THE FOREGOING, APP MANTRA DOES NOT WARRANT THAT GROGGI WILL OPERATE WITHOUT INTERRUPTION OR ERROR; THAT AN ALARM WILL ACTIVATE, REMAIN AUDIBLE, WAKE YOU, OR OPERATE AT A PARTICULAR TIME; THAT A CHALLENGE WILL ALWAYS FUNCTION OR BE AVAILABLE; THAT AUTOMATED PHOTO VERIFICATION WILL BE ACCURATE; THAT GROGGI WILL BE COMPATIBLE WITH EVERY DEVICE, DEVICE CONFIGURATION, OR VERSION OF IOS; OR THAT DEFECTS WILL ALWAYS BE CORRECTED.
NO ORAL OR WRITTEN INFORMATION PROVIDED BY APP MANTRA CREATES A WARRANTY THAT IS NOT EXPRESSLY STATED IN THESE TERMS.
Some jurisdictions do not permit the exclusion of certain warranties or statutory consumer rights. To the extent such law applies to you, the foregoing exclusions apply only to the maximum extent permitted by law and do not eliminate rights that cannot lawfully be waived.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APP MANTRA AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO GROGGI OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APP MANTRA WILL NOT BE LIABLE FOR LOSSES ARISING FROM A MISSED, DELAYED, INAUDIBLE, INTERRUPTED, OR FAILED ALARM; FAILURE TO WAKE UP; FAILURE OR UNAVAILABILITY OF A CHALLENGE; AN INCORRECT AUTOMATED VERIFICATION RESULT; DEVICE OR OPERATING-SYSTEM BEHAVIOR; LOSS OF CONNECTIVITY; OR INTERRUPTION OR FAILURE OF A THIRD-PARTY SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APP MANTRA’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO GROGGI OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO APP MANTRA FOR GROGGI DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
The exclusions and limitations in this section do not apply to liability that cannot lawfully be excluded or limited. Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, willful misconduct, or personal injury or other liability to the extent applicable law prohibits its exclusion or limitation. Nothing in these Terms limits any non-waivable consumer right or remedy available to you under applicable law.
13. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless App Mantra and its members, managers, officers, employees, contractors, and affiliates from third-party claims, damages, liabilities, judgments, losses, and reasonable costs and expenses, including reasonable attorneys’ fees, to the extent arising from your unlawful misuse of Groggi, your material violation of these Terms, or content you intentionally submit through Groggi in violation of another person’s intellectual property or other legal rights.
This indemnification obligation does not apply merely because you use Groggi in the ordinary manner for which the App is designed. It also does not require you to indemnify App Mantra for claims to the extent caused by App Mantra’s own violation of applicable law, breach of these Terms, negligence where liability cannot lawfully be shifted, or willful misconduct.
App Mantra reserves the right, at its expense, to assume the defense and control of a matter otherwise subject to indemnification, in which event you agree to provide reasonable cooperation in the defense of the matter.
14. Suspension and Termination
These Terms remain effective until terminated by you or App Mantra.
You may stop using Groggi at any time and may remove the App from your device.
App Mantra may suspend or terminate your access to Groggi, or particular online functionality, if you materially violate these Terms; misuse or attempt to compromise Groggi or its infrastructure; engage in fraud, abuse, or unlawful activity; or where suspension or termination is reasonably necessary to protect Groggi, its users, App Mantra, or a third party.
App Mantra may also discontinue Groggi or particular services for legitimate business, technical, legal, security, or platform reasons, subject to any rights you may have under applicable law.
Upon termination, the license granted to you under these Terms terminates. Provisions that by their nature are intended to survive termination, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous contractual terms, will survive to the extent applicable.
15. Apple App Store Terms
If you download or use Groggi through Apple’s App Store, the following additional terms apply. For purposes of this section, Groggi is the “Licensed Application.”
Agreement With App Mantra, Not Apple
These Terms are between you and App Mantra LLC only, and not Apple Inc. (“Apple”). As between App Mantra and Apple, App Mantra, not Apple, is solely responsible for Groggi and its content.
Nothing in these Terms is intended to establish usage rules for Groggi that conflict with the applicable usage rules contained in the Apple Media Services Terms and Conditions.
Scope of License
The license granted to you for Groggi is limited to a non-transferable license to use the App on Apple-branded products that you own or control and as permitted by the applicable Apple usage rules, except that Groggi may be accessed and used by other accounts associated with the purchaser through Family Sharing, volume purchasing, or other arrangements to the extent permitted by Apple’s applicable rules.
Maintenance and Support
App Mantra, not Apple, is responsible for providing any maintenance and support services for Groggi that App Mantra is required to provide under these Terms or applicable law.
You and App Mantra acknowledge that Apple has no obligation to furnish maintenance or support services for Groggi.
Warranties
To the extent any warranty concerning Groggi exists and has not been effectively disclaimed under these Terms or applicable law, App Mantra is solely responsible for that warranty.
If Groggi fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, paid for the Licensed Application as provided under Apple’s applicable terms. To the maximum extent permitted by applicable law, Apple has no other warranty obligation concerning Groggi. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to an applicable warranty are App Mantra’s responsibility to the extent required by applicable law.
Product Claims
App Mantra, not Apple, is responsible for addressing claims by you or a third party relating to Groggi or your possession or use of Groggi, including product-liability claims, claims that Groggi fails to conform to an applicable legal or regulatory requirement, and claims arising under consumer-protection, privacy, or similar laws, in each case subject to these Terms and applicable law.
Intellectual Property Claims
If a third party claims that Groggi or your possession and authorized use of Groggi infringes that third party’s intellectual property rights, App Mantra, not Apple, will be responsible for the investigation, defense, settlement, and discharge of the intellectual-property infringement claim to the extent required by applicable law.
Legal Compliance
You represent and warrant that you are not located in a country subject to a United States Government embargo or designated by the United States Government as a country supporting terrorism and that you are not listed on a United States Government list of prohibited or restricted parties.
Third-Party Terms
You must comply with applicable third-party terms when using Groggi, including applicable Apple terms and the terms associated with your wireless, Internet, or other services where relevant to your use of the App.
Apple as Third-Party Beneficiary
You and App Mantra acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your license and use of Groggi. Upon your acceptance of these Terms, Apple will have the right, and will be deemed to have accepted the right, to enforce the applicable provisions of these Terms against you as a third-party beneficiary.
16. Governing Law and Disputes
These Terms and any dispute arising out of or relating to these Terms or Groggi are governed by the laws of the State of Arizona, without regard to principles of conflicts of law, except to the extent another law must apply as a matter of non-waivable law.
Before commencing formal litigation, you and App Mantra agree to make a reasonable good-faith effort to resolve the dispute informally. A party seeking informal resolution should provide the other party with written notice describing the nature of the dispute and the relief requested. Notices to App Mantra may be sent to support@groggi.app.
If a dispute is not resolved informally, and subject to any non-waivable right you may have to bring a proceeding elsewhere, you and App Mantra agree that any judicial proceeding arising out of or relating to these Terms or Groggi will be brought in a state or federal court of competent jurisdiction located in Maricopa County, Arizona, and each party consents to the personal jurisdiction and venue of those courts.
Nothing in this section prevents either party from seeking appropriate temporary or injunctive relief where necessary to protect intellectual property, confidential information, security, or other rights for which immediate relief is appropriate.
Nothing in these Terms limits any right you may have to bring a matter in small claims court where the applicable requirements are satisfied.
These Terms do not require individual arbitration and do not contain a class-action waiver.
17. Changes to These Terms
App Mantra may update these Terms from time to time to reflect changes in Groggi’s functionality, services, business operations, legal requirements, platform requirements, or other legitimate circumstances.

When appropriate, App Mantra will update the “Last Updated” date shown at the beginning of these Terms. If a change materially affects your rights or obligations, App Mantra may provide additional notice or obtain consent where required by applicable law.
Your continued use of Groggi after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law. If applicable law requires affirmative consent to a particular amendment, that amendment will not become binding on you solely through continued use where affirmative consent is required.
18. Miscellaneous
These Terms, together with the Groggi Privacy Policy and any additional terms expressly presented to you for a particular Groggi feature or service, constitute the agreement between you and App Mantra concerning your use of Groggi.
If a provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and, to the extent necessary, severed without affecting the validity and enforceability of the remaining provisions.
App Mantra’s failure to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision later.
You may not assign or transfer your rights or obligations under these Terms without App Mantra’s prior written consent, except to the extent applicable law provides otherwise. App Mantra may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction, or to an affiliate or successor responsible for Groggi, subject to applicable law.
Headings are included for convenience and do not affect the interpretation of these Terms.
Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary, or franchise relationship between you and App Mantra.
